These Terms of Service ("Terms") govern your access to and use of Cheleteh, operated by Simaneka Intellectual Technologies ("we", "us", or "our"). Please read them carefully before using the platform.
By creating an account or using Cheleteh, you agree to be bound by these Terms. If you do not agree, you may not use the service.
1. Description of Service
Cheleteh is a cloud-based client management platform that provides tools for managing clients, generating invoices, quotes, and contracts, tracking billing and payments, managing tasks and tickets, and communicating with clients through a secure portal.
We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.
2. Account Registration
To use Cheleteh, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your password secure and not share access with unauthorised persons.
- Notify us immediately of any unauthorised use of your account.
- Be at least 18 years old or have the legal authority to enter into these Terms on behalf of your organisation.
You are responsible for all activity that occurs under your account.
3. Free Trial
New accounts receive a 6-month free trial with full access to platform features. No credit card is required to start the trial. At the end of your trial, you must subscribe to a paid plan to continue using the service. We reserve the right to modify trial duration and terms.
4. Subscriptions and Payment
After the free trial, continued access requires an active paid subscription.
- Subscription fees are billed in advance on a monthly or annual basis as selected.
- All fees are non-refundable except where required by applicable law.
- We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
- Failure to pay may result in suspension or termination of your account.
- Taxes may apply depending on your jurisdiction.
5. Acceptable Use
You agree to use Cheleteh only for lawful purposes and in accordance with these Terms. You must not:
- Use the platform to commit fraud, send unsolicited communications (spam), or engage in any illegal activity.
- Upload, transmit, or store content that is unlawful, harmful, threatening, abusive, defamatory, or violates the rights of others.
- Attempt to gain unauthorised access to other accounts, systems, or networks.
- Reverse engineer, decompile, or attempt to derive the source code of the platform.
- Use the platform in a way that could damage, disable, or impair its availability or performance.
- Resell or sublicense access to the platform without our written permission.
We reserve the right to suspend or terminate accounts that violate these provisions.
6. Your Content
You retain ownership of all data and content you upload to Cheleteh ("Your Content"). By using the platform, you grant us a limited, non-exclusive licence to store and process Your Content solely to provide and improve the service.
You are solely responsible for the accuracy, legality, and appropriateness of Your Content. We do not review or verify the content of invoices, contracts, or other documents you create.
7. Intellectual Property
Cheleteh and all related software, design, trademarks, and content are the property of Simaneka Intellectual Technologies and are protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property other than the limited licence to use the service.
8. Privacy
Your use of Cheleteh is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Disclaimer of Warranties
Cheleteh is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, Simaneka Intellectual Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use Cheleteh, even if advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the total fees you paid us in the three months preceding the claim.
11. Termination
You may close your account at any time by contacting us. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or if it is required by law.
Upon termination, your right to use the service ceases immediately. You may request a data export before account closure. We will delete your data within 30 days of account termination, except as required by law.
12. Governing Law
These Terms are governed by the laws of the Republic of Namibia. Any disputes arising from these Terms or your use of Cheleteh shall be subject to the exclusive jurisdiction of the courts of Namibia.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 14 days before the changes take effect. Your continued use of Cheleteh after the effective date constitutes acceptance of the revised Terms.
